Last fall Management on two occasions presented the Governance/ADR Committee with information regarding corporate governance best practices and has since continued its evaluation process.1 This memorandum presents the Governance/ADR Committee with the outcome of Management’s efforts and requests approval of two separate but related items: (i) changes to the California ISO Corporate Governance Principles (see Attachment A) consistent with the “Gap Analysis” (see Attachment B); and (ii) a new corporate governance document, the California ISO Principles, Policies and Standards Framework (see Attachment C).
